Agreement and eligibility
These terms form an agreement between the customer identified in an order or account and Legal entity pending legal approval. A signed order, DPA, or negotiated agreement controls if it conflicts with these online terms.
Users must be at least 18, have authority to bind their organization, and provide accurate account information.
Accounts and customer responsibilities
- Protect account credentials, use least-privilege roles, and promptly report suspected compromise.
- Obtain all rights, notices, permissions, and lawful grounds needed for submitted data, contacts, messages, publishing destinations, and connected accounts.
- Review AI-generated and automated output before external use and configure approvals, quotas, and recipients appropriately.
- Use the service and integrations in accordance with law, provider terms, the Acceptable Use Policy, and anti-spam requirements.
Service rights and customer content
Subject to payment and compliance, Taicho grants a limited, non-transferable right to use the service during the subscription term.
Customers retain ownership of their content and grant Taicho only the rights needed to host, process, transmit, and secure it under their instructions. Feedback may be used without identifying the customer.
AI and third-party services
Model output is probabilistic, may not be unique, and is not legal, financial, medical, or other professional advice. Customers are responsible for review and use.
Connected providers are governed by their own terms and availability. Taicho is not responsible for provider changes, account suspension, or third-party content outside its control.
Fees, suspension, and termination
Pricing, credits, taxes, billing interval, refunds, and renewal terms are defined in the applicable order or checkout. Unused credits expire as stated in the plan.
Taicho may suspend access reasonably necessary to contain security threats, unlawful use, material breach, or payment failure. Either party may terminate as provided in the order or applicable law.
Confidentiality, warranties, and liability
Each party must protect the other's confidential information and use it only for the agreement, subject to customary exclusions and legally required disclosure.
Service levels, warranties, indemnities, liability caps, governing law, venue, and dispute procedures require counsel approval in the applicable order. No draft language on this page overrides mandatory law.
Changes
Effective date: Effective date pending legal approval. Material adverse changes will be communicated through the contractual contact channel where required.
